Airwix Technologies ("Company", "We", "Us", or "Our") is a registered enterprise entity (GSTIN: 24ACLFA1615J1ZL) with its principal place of business at Nikol, Ahmedabad, Gujarat, India. We own and operate the Airwix Attendance & Payroll software, a comprehensive suite of Tier-1 HRMS and billing solutions, mobile applications (iOS and Android), and associated web portals (collectively referred to as the "Platform").

These Terms of Use govern your access to and use of the Platform. By accessing, browsing, or using the Platform, you confirm your unconditional acceptance of these Terms and agree to be bound by them, together with our Privacy Policy. If you do not agree to any of the terms set out here, please discontinue use of the Platform immediately.

ACCESSING, BROWSING, OR OTHERWISE USING THE PLATFORM INDICATES YOUR UNCONDITIONAL AGREEMENT TO ALL TERMS AND CONDITIONS IN THIS AGREEMENT. PLEASE READ IT CAREFULLY BEFORE PROCEEDING.

1. Registration of Users

To use the Platform, users must either be provisioned an account by their organizational administrator or register directly through our secure onboarding portals. You are required to provide accurate, current, and complete information at the time of registration.

As a registered user, you agree to keep your profile data up to date at all times. You are solely responsible for maintaining the confidentiality of your login credentials. Airwix Technologies employs stateless security measures, including HMAC hashing for OTP verification, to safeguard your access; however, all activity conducted under your account remains your sole responsibility. If any information you provide is found to be inaccurate, misleading, or fraudulent, we reserve the right to immediately deactivate your account and revoke your access to the Platform.

2. Subscription of Services & Payments

Payment of Fees

Airwix Technologies provides enterprise-grade HRMS and billing modules. Access to advanced capabilities — including custom tax compliance logic, automated GST invoicing workflows, and multi-tenant database management — requires an active paid subscription. Under no circumstances shall fees paid for advanced enterprise features be refunded.

Accepted payment instruments include:

  • Credit and Debit Cards
  • Corporate Cheques
  • Net Banking / Direct Debit
  • UPI and Digital Payment Wallets

Subscriptions are offered in monthly, quarterly, or annual billing cycles. Continued access to the Platform is contingent upon the successful realization of these subscription fees.

Online Transactions and Financial Rules

When using the Platform to process payroll or facilitate financial distributions, the Platform may route instructions through third-party Electronic Payment Processors (EPPs) or nodal bank networks. By initiating these workflows, you permanently authorize us to instruct such processors to handle deposits and withdrawals on your behalf.

Users acknowledge that Airwix Technologies is an enterprise software provider and not a banking institution or Non-Banking Financial Corporation (NBFC). It is the user's responsibility to ensure that all payroll distributions, TDS/TCS deductions, and fund transfers comply with Reserve Bank of India (RBI) regulations and applicable local tax laws. We accept no liability for failed transactions caused by insufficient funds, banking network outages, or incorrect account routing details provided by the user.

3. KYC Verification & Compliance

To unlock certain administrative and financial routing features, users and corporate entities may be required to submit identification and corporate registration documents ("KYC Documents"). By doing so, you authorize Airwix Technologies to process these documents to verify eligibility and ensure statutory compliance. Submitting forged, expired, or misleading KYC documentation constitutes a material breach of this Agreement and will result in immediate service suspension.

4. Refund Policy

Subscription Fees

All software subscription fees are strictly non-refundable, regardless of whether the services were fully used during the billing period. Cancellations will prevent future billing, but your subscription will remain active until the end of the current paid term. Refunds are issued solely at our discretion in the event of verifiable billing errors — such as duplicate charges — and will be credited to the original payment source within 7–10 working days.

Transactional Discrepancies

We accept no liability for incorrect payroll distributions or failed transactions arising from:

  • Inaccurate banking instructions or delayed UPI inputs provided by the user
  • Insufficient funds or encumbrances on the user's corporate accounts
  • Refusals by the user's banking provider to honour the transaction
  • Force Majeure events or third-party banking network failures

5. Description of Services

Airwix Technologies delivers a Tier-1 global HRMS and billing ecosystem. Our services include — but are not limited to — biometric and selfie-based attendance tracking, geo-fenced workplace verification, dynamic payroll processing, comprehensive leave management, statutory compliance reporting, and GST-compliant invoicing, e-way bill generation, and payment tracking.

6. Responsibilities

Our Responsibilities

We are committed to exercising reasonable skill and technical care in maintaining the high-availability infrastructure of the Platform and ensuring that sequential migrations across our PostgreSQL schemas run seamlessly. However, we do not guarantee the absolute accuracy of third-party data or user-generated inputs, and we are not liable for a corporate entity's failure to comply with applicable state, central, or international labour and taxation laws.

User Responsibilities

You are solely responsible for verifying the accuracy of all data you process through the Platform. You agree to comply with all applicable employment, taxation, and municipal laws in your jurisdiction. You must not impersonate any individual, misrepresent your corporate affiliation, inject malicious scripts into our systems, or use the Platform to facilitate unauthorized or fraudulent financial activities.

7. Prohibited Activities & IT Rules 2021 Compliance

In strict compliance with Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, users are prohibited from hosting, displaying, uploading, modifying, publishing, or sharing any content that:

  • Belongs to another person to which the user has no legal right
  • Is defamatory, obscene, pornographic, pedophilic, or invasive of another's bodily privacy
  • Promotes money laundering, illegal gambling, or causes harm to users
  • Infringes any patent, trademark, copyright, or proprietary right
  • Deceives or misleads recipients about the origin of a message, or is demonstrably false
  • Contains software viruses, trojans, or code designed to disrupt, destroy, or limit our server infrastructure
  • Threatens the unity, integrity, defence, security, or sovereignty of India, or public order

8. Account Security & Unauthorized Dealings

Upon successful onboarding, you will be assigned a unique User ID. You must maintain the absolute confidentiality of your credentials at all times. We reserve the right to suspend any account suspected of cybercrime, unauthorized data scraping, or illegal activity, and will cooperate fully with law enforcement agencies in India and relevant foreign jurisdictions as required.

9. System Notifications & Alerts

To ensure smooth operations, the Platform sends automated alerts relating to attendance records, leave approvals, and payroll generation. By using the Platform, you consent to receive these notifications via push alerts, WhatsApp, and SMS through our registered Airtel Commercial Communication (DLT) framework. You are responsible for keeping your contact details current. Airwix Technologies is not liable for delayed alerts caused by telecom network issues or device-level restrictions.

10. Modifications to the Platform

As a dynamic software provider, we continuously roll out updates, architectural enhancements, and new features to maintain a competitive global standard. We reserve the right to modify, suspend, or discontinue any feature of the Platform without prior notice. You agree that Airwix Technologies shall not be liable to you or any third party for any service modifications or temporary maintenance downtime.

11. Intellectual Property Rights

All intellectual property within the Platform — including source code, database architectures, proprietary tax calculation algorithms, UI/UX designs, and brand trademarks — is the exclusive property of Airwix Technologies. You are granted a personal, non-transferable, and non-exclusive licence to use the Platform solely for your internal business operations. You must not reverse-engineer, decompile, copy, or distribute any part of the Platform.

12. Indemnity & Limitation of Liability

Indemnity

You agree to defend, indemnify, and hold harmless Airwix Technologies, its founders, directors, and affiliates from any claims, losses, or legal expenses arising from your breach of these Terms, violation of third-party rights, or non-compliance with applicable labour laws.

Limitation of Liability

In no event shall Airwix Technologies be liable for any direct, indirect, incidental, consequential, or punitive damages — including loss of profits, data corruption, or business interruption — arising from your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

13. Force Majeure

We shall not be held in breach of these Terms if performance is delayed or prevented by events beyond our reasonable control (a "Force Majeure Event"), including acts of God, natural disasters, hardware failures, internet backbone outages, telecom disruptions, strikes, or governmental decrees.

14. Governing Law & Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be referred to amicable resolution within 15 days. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.

15. Severability & Waiver

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary, and the remainder of the Agreement shall continue in full force and effect. No failure to exercise any right under these Terms shall constitute a waiver of that right.
